1. Acceptance of Terms

By accessing or using Secret Agent Voicemail ("Service"), a product of WebMax Labs LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). Secret Agent Voicemail is a DBA (doing business as) of WebMax Labs LLC, a company based in Phoenix, Arizona. If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Service Description

Secret Agent Voicemail is an AI-powered voicemail service that provides:

• Voicemail reception, storage, and transcription
• AI agent interactions with callers
• Emergency broadcast SMS messaging (10DLC compliant)
• Email notifications and communications
• Call forwarding and patching capabilities
• Google Calendar integration (when authorized)
• Web-based dashboard for managing voicemail and settings

The Service is intended for legitimate communication and emergency preparedness purposes only.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 13 years old to use this Service. By creating an account, you represent that you meet this age requirement and that all information you provide is accurate and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

4.1 Pricing

The Service is offered on a monthly subscription basis at $6.49 per month, or an annual subscription at $67 per year. Pricing is subject to change with notice to existing subscribers.

4.2 Payment Processing

Payments are processed securely through Stripe. We do not store your credit card information. By providing payment information, you authorize us to charge the subscription fee to your chosen payment method. Please note:Charges will appear on your credit card or bank statement as "WEBMAX LABS" (our parent company name).

4.3 Renewal and Cancellation

Your subscription will automatically renew annually unless you cancel before the renewal date. You may cancel your subscription at any time through your account dashboard. Cancellations take effect at the end of the current billing period. No refunds are provided for partial subscription periods.

4.4 Refund Policy

We offer a 30-day money-back guarantee for new subscribers. Refund requests must be submitted within 30 days of initial purchase. Renewals are not eligible for refunds.

5. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any local, state, national, or international law
• Send spam, unsolicited messages, or engage in harassment
• Impersonate any person or entity
• Transmit viruses, malware, or other malicious code
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for fraudulent or deceptive purposes
• Violate SMS regulations or 10DLC compliance requirements
• Abuse emergency features for non-emergency purposes
• Scrape, harvest, or collect user information without permission

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

6. SMS and Communication Services

6.1 SMS Messaging

Our Service sends SMS messages using 10DLC-compliant infrastructure. By using the Service, you acknowledge that:

• Message and data rates may apply based on your mobile carrier
• Message delivery is not guaranteed and may be subject to carrier delays
• You are responsible for ensuring recipients have consented to receive messages
• Emergency broadcast features should only be used for legitimate emergencies

6.2 Voicemail and Transcription

We use AI technology to transcribe voicemail messages. While we strive for accuracy, transcriptions may contain errors and should not be relied upon as exact representations of voicemail content.

7. Third-Party Integrations

The Service may integrate with third-party services such as Google Calendar. Your use of third-party integrations is subject to their respective terms of service and privacy policies. We are not responsible for the actions or policies of third-party services. You may revoke integration permissions at any time.

8. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. We collect, use, and protect your data as described in the Privacy Policy.

9. Intellectual Property

9.1 Our Rights

The Service, including all software, technology, designs, trademarks, and content, is owned by Secret Agent Voicemail and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

9.2 Your Content

You retain ownership of your voicemail messages, transcripts, and other content. By using the Service, you grant us a license to store, process, and transmit your content as necessary to provide the Service. This license terminates when you delete your content or close your account.

10. Emergency Features

IMPORTANT DISCLAIMER: The emergency features of this Service (including emergency broadcasts and call forwarding) are intended as supplementary communication tools and should NOT be relied upon as a substitute for official emergency services.

• In a genuine emergency, always call 911 or your local emergency number first
• We do not guarantee message delivery or availability during emergencies
• Network outages, technical failures, or other issues may prevent emergency features from functioning
• You are responsible for maintaining alternative emergency communication methods

11. Service Availability

While we strive for high uptime, we do not guarantee uninterrupted access to the Service. We may suspend or modify the Service for maintenance, updates, or other reasons. We are not liable for any disruption to the Service.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECRET AGENT VOICEMAIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Secret Agent Voicemail, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or violation of any rights of another party.

15. Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Abuse of the Service or harassment of other users

You may terminate your account at any time by canceling your subscription. Upon termination, your data may be deleted in accordance with our data retention policies.

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Secret Agent Voicemail regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
